What to expect when working with us

Principles and expectations when working with Act Build Change.

Introduction

We are Act Build Change (“Act Build Change”, “we”, “us”, and “our”) and these are our Terms and Conditions (“Terms”). Please read these Terms carefully before using any of our Services. Our Services include, but are not limited to, this website and all of its features, our Membership, Training and Events, and any work we carry out with Partners (Partners include any individuals and organisations we contract with). You should also read our Privacy Policy and Community Guidelines.

These Terms apply to Act Build Change, which is owned and operated by Act Build Change Ltd. By using any Service that Act Build Change provides, you agree to these Terms.

We reserve the right to modify, add or remove portions of these Terms at any time. It is your responsibility to check these Terms periodically for changes. Your continued use of our services following changes will mean that you accept and agree to the changes.

Becoming a member

By creating an account on our website, you become a Member of Act Build Change. Your account is personal to you and should not be shared with any other person. You are not allowed to share a membership or its benefits across any of our Services.

You are responsible for maintaining the confidentiality of your login details. This includes not sharing your details with third parties. If you suspect or know that a third party has obtained your login details, you must change your password immediately and notify us as soon as possible.

Our Membership is intended for persons aged 18 or over only.

Community content and conduct

Our Community is made up of Members, Partners and any other person who takes part in any of our Services. Any speech, text, images, video, audio or other types of information are referred to as Content.

Whilst using our Services, you may submit Content to us and to the Community through our website, chat and messaging systems and anywhere else across any platforms that we use. Please be aware that we do not systematically review all of the Content shared by the Community. We are not responsible for your Content or that of any other person in the Community. We make no warranties or representations, express or implied, about your sharing of information. In submitting Content, you warrant to us that you are entitled to submit it and are not infringing any rights of any third party. We aim to make our Community a brave and care-full space, so when you submit Content you are agreeing that content is not illegal, obscene, defamatory, threatening, pornographic, harassing, hateful, racially or ethnically offensive, and does not encourage conduct that would be considered a criminal offence, or is otherwise deemed inappropriate.

As part of our Community, you will not disclose to any person any confidential information revealed to you regarding either Act Build Change or other Community members. Any Content shared across our Services and within the Community should be taken as confidential information, except where information is publicly available or known to you before being disclosed; where the information comes to your attention independently of the Community; where disclosure may be required by law, a court of competent jurisdiction or any governmental or regulatory authority.

You agree not to use confidential information to solicit or entice other Community members away from Act Build Change or to become involved with any business concern which is, or intends to be, in direct competition with Act Build Change. Any Content or confidential information which is taken from our Services and used external to our Services may also break intellectual property terms and laws. Please refer to the Intellectual Property section of these Terms.

Please read our Community Guidelines before using any of our Services or submitting any Content. By agreeing to these Terms you also agree to adhere to our Community Guidelines.

Third-party content

Our website and other communications may embed or link to content on other websites. We have not reviewed these third-party websites and do not control nor make any representation about them. If you do decide to use any third-party websites, you access them entirely at your own risk and we accept no responsibility for any loss or damage that may arise from using them.

Products and Services

Membership subscriptions

‍‍Act Build Change offers free and paid Membership plans (“Subscriptions”). Paid Membership plans will often come with extra features, depending on the plan, as detailed on the Membership page, when subscribing, and in other communication materials.

Your first Subscription payment will be due and automatically debited from your account at the time you sign up. Your Subscription will then automatically renew monthly or yearly, depending on the type of Subscription you have signed up for. We will charge your original payment method for the renewal of the Subscription. Should this information change, you agree to update it as necessary. 

You can cancel your Subscription at any time through your account settings on our website. If you cancel your Subscription, this will take effect at the end of your current billing period and you will continue to receive the Membership benefits that are part of your Subscription until the period has ended, provided your payments are up to date. You will not be given a refund for any remaining time on your current period, unless stated otherwise. 

After cancelling your Membership, any outstanding fees must be paid in accordance with these Terms. These Terms will still apply regardless of the termination or cancellation of your Membership or Subscription. We can cancel your Membership with immediate effect if you fail to pay any amount due under these Terms by the relevant payment date; if you breach any of these Terms and that breach is irremediable or, if such breach is remediable, you fail to remedy the breach within 30 days of you being notified by us; as decided at our sole discretion.

We reserve the right to refuse to process your transactions. We will not be liable to you or any third party due to any cancellation, refusal or suspension of any transaction after processing has begun.

Our trainings and events

We host Act Build Change trainings and events (“Events”), both in-person and online. Events may be ticketed, which will require you to sign up through our website or a third-party service. If using a third-party service, you must also adhere to their terms and conditions and privacy policy which may differ to those set out in these Terms.

Ticket pricing can vary across any Event or may be included in your Membership. Tickets must not be transferred, or re-sold, to any other person, unless stated otherwise. If you are unable to attend an event please let us know at the earliest opportunity, either via your point of contact at Act Build Change or email info@actbuildchange.com.

You are not permitted to copy, record, share or distribute any information from any of our live or recorded trainings or events, as outlined in the Intellectual Property section of these Terms and our Community Guidelines, unless stated otherwise.

When you attend our Events, you agree to adhere to these Terms and our Community Guidelines.

Community ideas, events and opportunities

Act Build Change promotes Ideas, Events and Opportunities from the Community (members, partners and general public).

Our website allows users to submit content relevant to these areas. Submissions may also be received by third-party or publicly accessible sources. Submissions will be vetted and may or may not be accepted or published. We reserve the right to edit, publish or remove any Community submissions at any time.

In some cases, you may be reimbursed or charged a fee for your submissions, as outlined at the point of submission. Any payments will be made before any content is published. You have the right to request that any personal information be amended or unpublished in line with our Privacy Policy. If Act Build Change has paid for your submission, you agree to transfer the intellectual property rights for the contents of your submission. If Act Build Change receives payment from you for your submission, refunds will not be accepted unless stated otherwise.

Through our website, emails and other communication platforms, we may advertise Ideas, Events and Opportunities hosted by third parties. Such publication and advertisements do not imply our support for these third parties or any Services or Content provided by them. Act Build Change does not take responsibility for any situations arising from third-party sources and you may be subject to third-party terms and conditions and privacy policies which differ from our own.

Partnerships

We carry out work (“Projects”) with various external organisations and individuals (“Partners”), and we refer to these relationships as Partnerships.

Act Build Change will work with Partners to discuss their Project(s) and provide a Plan before the Project commences. The Plan will include expected deliverables, timings and costs for the Project. Elements of the Plan may be contained within documents, emails, and other forms of communication between Act Build Change and the relevant Partner(s). Once the Plan has been agreed by Act Build Change and the relevant Partner(s), either verbally or in writing, the Project may commence. Once the Project has commenced, the Partner is liable to pay for any costs outlined in the Plan, regardless of whether any deliverables have been completed, according to our discretion.

Any changes to the Project Plan during the course of the Project, may result in unintended consequences, such as changes to deliverables, timings and costs. In some circumstances, we may not be able to meet the expectations of the original Plan and adjustments may need to be made or the Project may be terminated. Although we reserve the right to terminate the Project and request payment as agreed in the Plan, we will always endeavour to resolve any issues arising during a Project’s lifespan and factor in provisions for unexpected changes along the way.

Any extra costs that arise during the course of a Project, that are not outlined in the Plan, may need to be paid for by the Partner. Extra costs include, but are not limited to, travel, catering and accommodation expenses, printing and stationery costs, and the costs of third-party services and platforms. We will notify the Partner before any extra costs are incurred. Any agreed extra costs will be added to our invoice(s).

Before, during or after a Project has been completed, invoices will be sent to the Partner for payment in accordance with the agreed Plan (for example, payments may be made in instalments or in one lump sum). All invoices are to be paid within 30 days of receipt and are subject to the Payments Terms section outlined in these Terms.

All work, and any intellectual property, carried out or created during the course of a Project is subject to the terms outlined in the Intellectual Property section in these Terms and Conditions. By default, all intellectual property remains in the ownership of Act Build Change, unless agreed or stated otherwise.

We treat all Partners with respect and expect the same in return for our team at Act Build Change. Please refer to our Community Guidelines before working with us. If you encounter any issues whilst working with Act Build Change, please let us know at the earliest opportunity, either via your point of contact at Act Build Change or email info@actbuildchange.com.

Other products and services

Other products and services provided by Act Build Change may include, but are not limited to, merchandise, books and other resources.

All, and any, products and services provided by Act Build Change are bound by these Terms and Conditions and our Community Guidelines.

Payment terms

Payment for most of our Services can be made through our website or other online platforms. In some cases, you may make payments via direct bank transfer or other means. Financial information is processed securely, inline with our Privacy Policy.

When making payments, you accept that your bank may charge you an additional fee for certain transactions (for example, international transactions) and that the quoted price may change due to your local tax laws or currency.

Services sold on our website are due to be paid before the order will be processed, unless stated otherwise. For work with Partners, an invoice will be sent upon completion of agreed work, and payment will be due within 30 days. Any payments made after 30 days from the initial invoice date may be subject to late payment charges.

Promotions and discounts

We may offer Services at a reduced cost or without a fee. However, we are not obligated to offer these promotions and discounts and can discontinue them at any time and at our discretion. Our promotional and discount offers are non-transferable and may not be used or combined with other promotional or discount offers, unless stated otherwise.

Delivery and shipping

Any Services that require a digital or physical item to be sent to you, will be sent in accordance with the information provided alongside each respective Service. In general, digital items will be sent to your provided email address and physical items will be sent to your provided postal address, unless stated otherwise.

For items sent by post, you will receive an estimated delivery time. Please allow for acceptable delays in delivery due to unforeseen circumstances or issues with third-party providers. Items posted outside of the UK may require extra charges such as postal fees, import duties and taxes, and will be subject to extended delivery times.

If you have yet to receive an item beyond the expected delivery date, please contact us (info@actbuildchange.com) and we will try to track the item down. If the item becomes lost or damaged in transit, we may send a replacement or offer a refund at our discretion.

Refunds and returns

For digital items and services, we do not accept returns as you will already be in receipt of the item’s contents which may or may not have been used or copied. We do not offer refunds for digital items and services, unless otherwise stated.

For physical items, we will accept returns if the items are unused, in their original packaging and in a resalable condition. If we are satisfied that these terms have reasonably been met, you will be eligible for a refund. We do not cover the cost of return postage or any supplementary fees, duties or taxes beyond the original cost of the item(s).

If you have purchased any product or service from Act Build Change which is below the standard advertised or expected, please contact us (info@actbuildchange.com) to discuss further. We strive to provide you with the best possible service at all times and will aim to resolve any issues on a case-by-case basis.

Any refunds will be processed, once agreed, after the relevant terms and conditions have been met. Once a refund has been processed, the amount will be returned to the original payment method within five working days. Please allow extra time for return delivery times and processing.

Intellectual property

All text, graphics, user and visual interfaces, photographs, trademarks, logos, sounds, music, and artwork (collectively known as "Act Build Change Content"), including but not limited to the design, structure, selection, coordination, expression, and arrangement of such Act Build Change Content, contained on our website, our social media platforms and any other associated materials is owned and controlled by us, and is protected by copyright and various other intellectual property rights. We own, or are the licensees to, all rights, titles, and interests in our website, our social media platforms, and any other associated materials, including all intellectual property rights.

If Act Build Change has been contracted to produce Content for a third party such as a Partner, Community Member, or any other individual or organisation, this Content will also be owned and controlled by Act Build Change and be subject to these Terms, unless agreed or stated otherwise.

When Act Build Change uses Content from third-party sources in our own works, we provide the relevant credits in accordance with intellectual property laws, to the best of our knowledge. We do not knowingly copy or repurpose any Content with the intent to steal the intellectual property of others.

When you are referencing Act Build Change Content in your own works, Act Build Change must be credited each time any extract is distributed in any form. Act Build Change must be credited as the author of the Content. Where Content of others are shared within our referenced works, the original creators must too be named and credited.

Data protection

Any data that Act Build Change collects or uses is processed in accordance with our Privacy Policy. By using any of our Services, you agree to the terms and conditions outlined in the Privacy Policy.

‍Disclaimers and limitations

‍Our services are provided “as is” and “as available” and we expressly disclaim to the fullest extent permitted by law all express, implied and statutory warranties. We are not liable to you or any user for any use or misuse, reliance, inability to use, interruption, suspension or termination of our services. Nothing in these Terms shall limit or exclude our liability for any liability that cannot be limited or excluded by law.

‍Where we cannot, or are delayed from, carrying out our obligations under these Terms because of things beyond our reasonable control, our performance obligations shall be postponed until these circumstances end.

‍You agree to indemnify, defend and hold us, our subcontractors and employees, harmless from any claim or demand made by a third party due to your breach of these Terms or the documents they reference or your violation of any law or the rights of a third party.

‍As permitted by law, we disclaim responsibility for any harm resulting from your use of our services. If, notwithstanding other provisions of these Terms, we are found to be liable to you for any damage or loss which arises out of or is in any way connected with your use of our Services, our liability shall in no event exceed the greater of (1) the total of any fees with respect to the Service received by us from you, during the 12 months preceding the date on which the claim arose; or (2) £100.00.

Waiver

‍No waiver by us of any of these Terms shall be effective unless it is expressly stated to be a waiver and is communicated to you in writing.

Termination

We reserve the right to withdraw, suspend, amend or terminate our Services without notice. We will not be liable if any aspects of Services are unavailable at any time or for any period for any reason. Upon termination, your right to use our Services will cease immediately.

Disputes

If you have any concerns or disputes regarding our Services, please contact Act Build Change at info@actbuildchange.com, so that we can try to resolve any issues effectively and in an appropriate manner.

Governing law

‍The law of England and Wales governs these Terms. If any dispute should arise from or relating to these Terms, then the dispute will be subject to the exclusive jurisdiction of the courts of England and Wales.
